Over the course of more than three decades, Giga-Tronics Incorporated (OTC: GIGA) has sought to make significant contributions to developing next-generation radar and electronic warfare systems across the globe. Giga uses performance microwave design and manufacturing makes to build and deploy real-time threat simulation, radar target generation, and flight-ready electronic warfare systems. Giga-Tronics, based out of Dublin, California, has received approval from both ISO 9001 and AS 9100.[1]

Gresham Worldwide, Inc., which acquired Giga via a reverse merger, develops cutting-edge, industry-specific technology renowned for its high dependability in the military, healthcare, and telecommunications sectors. Gresham Worldwide is the current name of the corporation formerly known as DPW Technology Group, Inc.[2] The name change took place in 2004. The Company was founded in 2018 and had its headquarters in Phoenix, which is located in the state of Arizona. It also has locations in Shelton, Connecticut; Washington, District of Columbia; Salisbury and Wareham, United Kingdom; and Karmiel, Israel. Gresham Worldwide, Inc., BitNile Holdings' wholly owned subsidiary, is the Company responsible for the business's day-to-day operations.[1]

Share Exchange Agreement with Gresham Worldwide[edit]

Gresham, a global provider of proprietary, purpose-built electronic solutions to militaries and leading defence companies around the world in the areas of RF devices, power electronics, displays, automated tests, and missile launch, acquired Giga in 2022. The acquisition of Giga, a producer of sophisticated RADAR and electronic threat emulation systems as well as radio frequency ("RF") filters, enables Gresham to become a publicly traded company without an intial public offering.[2]

The companies are expecting that synergies that will be created as a result of the deal which will make it possible for them to significantly strengthen their position in the rapidly expanding market for electronic countermeasures and RF solutions. A growing global recognition of the importance of electromagnetic spectrum superiority fuels this market expansion. The combined customer base of these firms, which totals well over 500, comprises more than 40 tier-1 prime contractors working in the military sector and 20 projects being undertaken by defense ministries located all over the globe.[2]

As of March 31, 2022, the combined companies had total annual sales of around $35.4 million and a backlog of $31 million. Gresham most recently reported an increase in booked orders for new business of 23%, which brought the total to over $10.0 million for the second quarter, which concluded on June 30, 2022, from $8.1 million for the first quarter, which ended on March 31, 2022. The majority of this surge may be attributed to rising military tensions in different parts of the world. According to Gresham, continuing global unrest and growing concerns around industrial supply chains will fuel bookings momentum through the end of 2022 and into 2023.[4] The combined business will have around 40 million dollars in annual sales, approximately sixty clients in the worldwide military sector, and a global reach due to its activities in several countries.[5]

To complete the transaction, GIGA will repurchase or redeem its existing shares of preferred stock, and BitNile will transfer GWW to GIGA in exchange for shares of GIGA common and preferred stock at the conclusion of the transaction. BitNile will lend GIGA $4.25 million at the closure of the transaction. Existing shares of GIGA common stock will not change in any way with regard to their divisibility. The transactions are subject to several normal conditions, one of which is the approval of GIGA's shareholders. The GIGA purchase of GWW should be finalized within the first quarter of 2022. As soon as the merger is finalized, GIGA will transition into a subsidiary of Ault Alliance controlled by the latter as its whole.[5]
