Introduction[edit]

Livento Group, Inc. [OTCPK: NUGN], formerly NuGene International Inc., is a US-based film and television company that acquires and develops companies with disruptive technology business models focusing on content, film, and technology for fund managers. It is also engaged in artificial intelligence and machine learning business and real estate finance and development. It owns and operates BOXO Productions, a film and television production company that funds and produces different genre content. It operates through the BOXO Production division and the AI & Robotics division. The firm is headquartered in New York.[1]

Operations[edit]

BOXO[edit]

Livento created BOXO Production, its wholly-owned subsidiary, in June 2022. BOXO had initially been operating as the company's division since 2020, where it met and worked on projects with several top film and movie producers. BOXO's business blueprint targets the surging demand for content to fill cinemas in the post-COVID-19 error and increased online content distributors. The subsidiary is trusted to hold all the company's assets in movies in the years ahead. Its success hardly depends on the produced film's success since the associated distributors pay BOXO before the film project is completed. It receives its revenue share from home sales and the cinema's box office. BOXO has plans to expand its production and film portfolio. It uses internal resources, loans, and investors to finance movie projects. BOXO is working on several movie projects expected to be released in Q1 or Q2 of 2023.[2]

BOXO acquired eight films acquired in 2023 with filming and release to theaters in 2024. Funding for these films will be provided by two private funds currently seeking investors to put in $40 million. The BOXO FUND will focus on accredited investors while the BOXO CF Crowd Fund will be open to retail investors. The first release is Locked, starring Anthony Hopkins and Bill Skarskard. Other films are: Carnival of Killers, Calico Joe, God's Country, Black Cotton Star, and The Beirut Spy.[3]

NOVEL-TI[edit]

The AI & Robotics division operates NOVEL-TI, a Sfax-Tunisia- based Tunisian LLC that develops and produces hardware and software products covering AI, IoT, Robotics, and Gaming fields.[4]

History[edit]

The company was incorporated on October 30, 2013, as Bling Marketing, Inc. under the State of Nevada laws. It initially engaged in the wholesale of jewelry, earrings, rings, and pendants. The firm was classified as a shell company in June 2014 after recording minimal sales from its operations. The company employed the services of several distributors and realized revenue that salvaged it out of its shell status. The company entered a merger agreement with NuGene Inc., where NG Acquisition Inc., the company’s subsidiary at the time, merged with NG, making NuGene a wholly-owned subsidiary. The deal was deemed to be a reverse merger.[5]

The firm focused on business transformation to the cosmeceutical skincare business in 2014. The business was discontinued in 2017, and the company's corporate charter was revoked. David Stybr, CEO and Founder, injected shares of Livento Group LLC into NuGene International, Inc. and revived the company under Livento Group, LLC, which commenced operations in 2017. Livento developed financial management software for investment entities propelled by artificial intelligence.[6]

Novel-Ti[edit]

The company finalized the acquisition of Novel-Ti on March 6, 2023. Novel-Ti is a disruptive tech company specializing in developing AI and Robotics Industry solutions. The company was founded by a Ph.D. engineer with electrical engineering and fuzzy logic qualifications and a computer science engineer in 2013. Novel-Ti has employed AI and computer vision to create several bespoke innovative applications across different sectors, including automotive, finance, and healthcare. Livento acquired Novel-Ti to facilitate its quest to invest in the glowing AI market, valued at $50 billion in 2020 and projected to hit $185 billion by 2026.[7]

Euro Dot[edit]

Euro Dot is a holding company which will own a portfolio of logistics, transport and technology companies. It is hoped that combining smaller companies under one owner will provide economies of scale, access to capital, and the ability to modernize. Euro Dot, as of October, 2023, has the goal was to acquire three to eight companies, and some were already at the term sheet or final negotiation stage. Livento has a 15% stake in Euro Dot.[8]

The company realized $1,966,202 in revenue in 2022. The gains were attributed to sales of Elisee and the company’s real estate projects management services, each contributing $ 1,066,000 and $900,202, respectively.[9]
